Ask what “private” describes

A privately negotiated payment promise and an insurer-issued product described with private-placement language should not be treated as the same arrangement. Begin by naming the legal obligor, the consideration exchanged, and the document creating the obligation. Ask the presenter to describe the proposal without relying on the word “private.”

Understand the parties and payment conditions

Valuation and payment ability are different questions

Review the transfer as well as the income

For a proposed private exchange, ask what changes hands, when ownership changes, and what control remains with each party. Have counsel identify the documents, appraisals, or other evidence needed. Do not assume the title of an agreement answers every question about the underlying property transfer.

Include the people who will administer the arrangement

Ask who would maintain the payment records, resolve routine questions, and act if a relevant person became unable to manage the paperwork. Make the agreement understandable to those who would be responsible for it later, while preserving the distinction between an administrative summary and the controlling legal documents.

Compare against the original objective
